Position Overview
We are seeking a highly organized and detail-oriented Senior Paralegal and Legal Operations Specialist to provide comprehensive support to GEM’s Legal team. Reporting directly to the Senior Counsel, this role will contribute to the execution and oversight of legal operations across GEM’s private fund investing and fundraising activities. The ideal candidate will bring strong paralegal experience, operational acumen, and a proactive mindset to manage legal workflows, draft and maintain documentation, track deadlines, and coordinate effectively with internal teams and external stakeholders.

Key responsibilities include, but are not limited to:
Legal Operations and Project Management
Execute and coordinate legal workflows across private investments, product launches, investor onboarding, side letter negotiations, and regulatory filings, including preparation and processing of related documentation.
Maintain and enhance legal operations infrastructure by managing document management systems, tracking entity governance, and updating compliance calendars.
Track and monitor deliverables and timelines across Legal, Investment, Operations, and other GEM teams to ensure alignment and timely execution.
Coordinate signature pages and compile documents for closings, amendments, and investor communications, including preparation, assembly, and distribution of all required materials.
Paralegal Support
Draft, review, and manage legal documents, including NDAs, subscription agreements, and service provider contracts.
Assist with entity formation, governance documentation, and corporate filings across relevant jurisdictions.
Prepare and implement updates to fund documentation (e.g., private placement memoranda, limited partnership agreements, investment management agreements) and coordinate with external counsel, as needed.
Assist with legal onboarding of new investors, including reviewing and processing subscription materials.
Prepare and support regulatory filings and compliance obligations.
Manage and complete Know Your Customer (KYC) and Anti-Money Laundering (AML) documentation and investor accreditation processes for private investments.
Qualifications and Requirements
Successful candidates will demonstrate traits consistent with GEM’s collegial and team-oriented culture, including enthusiasm, honesty, humility, integrity, and a spirit of curiosity. Additionally, candidates must meet the following criteria:
Bachelor’s degree required; paralegal certification or legal studies preferred.
5+ years of experience in a legal or compliance role within asset management, private equity, or fund administration required. Investment management and funds experience strongly preferred.
Excellent organizational, communication, and project management skills.
Proficiency in Microsoft Office and legal operations tools (e.g., Litera and Microsoft Teams).
Ability to thrive in a fast-paced, collaborative environment with high attention to detail.
Working Conditions
Position type: Full-time
Work schedule: Minimum 40 hours per week
Work location: Onsite at GEM office, five days per week
Work environment: Office
Essential physical requirements: Ability to sit and work on a computer for extended periods
Travel requirements: Minimal; primarily to and from firm or team-related events
